Jeffrey D. Kaiser focuses on a wide range of corporate, real estate and financial transactions. He previously practiced law at a large international law firm and as in-house corporate counsel to a large energy company and to a real estate investment fund. He has substantial experience representing clients in the energy, financial services, health care, telecommunications, entertainment, hospitality and real estate industries, as well as issues relating to franchise and distribution relationships. As a result of his experience as in-house counsel, he also provides general business counseling on various strategic and day-to-day legal issues.
In 2013, Mr. Kaiser was named as a Super Lawyer Rising Star by The Legal Intelligencer and, in 2012, he was named to the Philadelphia Business Journal’s list of Who’s Who in Energy. The Philadelphia Business Journal partnered with affiliates in Dallas, Denver, Houston, Pittsburgh, San Antonio and St. Louis to identify 100 energy industry leaders in each market. In 2008, he was recognized as one of 35 Pennsylvania Lawyers on the Fast Track by The Legal Intelligencer and Pennsylvania Law Weekly. He has served on the Board of Directors of the Delaware Valley Chapter of Association of Corporate Counsel (ACC) and as national Chair of the Financial Services Committee and Real Estate Committee of the ACC.
He represents clients in connection with mergers and acquisitions, business and asset purchases and sales, divestiture of business units, entity structuring and formation, outsourcing transactions, private placements, joint ventures, various mezzanine and equity investment transactions and private fund matters.
He has broad experience in a wide range of real estate transactions, including purchases and sales, distressed real estate transactions, environmental remediation matters and brownfields transactions, leasing, sale-leasebacks, project development, international investment transactions, construction contracts and construction dispute resolution, land use and zoning, investment and development due diligence and real estate litigation. He has represented clients in large, multi-state asset acquisitions and divestitures pursuant to a variety of competitive bidding procedures.
Mr. Kaiser has also represented lenders and borrowers in connection with loans and credit facilities in principal amounts in excess of $400 million, including complex AB and multi-loan structures, syndicated credit facilities and mezzanine loans, loan participation agreements, securitization transactions, derivatives, defeasances, loan workouts and distressed debt transactions.
He has unique experience in the energy industry, having represented clients with respect to natural gas and coal development, leasing and investment transactions, wholesale and retail petroleum marketing matters (including issues relating to the Petroleum Marketing Practices Act (PMPA) and other franchise regulations), power purchasing agreements, acquisitions and divestitures of assets such as gas stations, terminal facilities and pipelines and environmental risk mitigation.
He received his Bachelor of Arts degree from Muhlenberg College and his Juris Doctor cum Laude from the University of Miami School of Law, where he was a member of the University of Miami Law Review.
